Supplements to the ADSp:

Exclusively the ADSp and our supplements apply, with which our customer agrees upon placing the order, and this also applies to future transactions, even if not expressly referred to, provided that they have been made available to the purchaser with an order confirmed by us. If the order is placed deviating from our delivery and payment terms, only our delivery and payment terms shall still apply, even if we do not object. Deviations are only valid if they have been expressly acknowledged by us in writing.

We are entitled to assign claims arising from our business relationships.

All contracts concluded between us are subject exclusively to German law, excluding the UN Convention on Contracts for the International Sale of Goods and conflict-of-law provisions of German law.

The place of jurisdiction, at our discretion, shall be either the company’s registered office or Frankfurt am Main.

If the purchaser is in default with any payment obligations towards us, all outstanding claims shall become immediately due.

We are entitled to enforce our rights arising from retention of title – in particular, the repossession of goods delivered under retention of title – without prior withdrawal from the respective purchase contract.

All payments shall be made with debt-discharging effect exclusively to AKTIVBANK AG, Herriotstraße 1, 60528 Frankfurt am Main, to whom we have assigned our present and future claims arising from our business relationship. We have also transferred our retained title rights to AKTIVBANK AG.
